Proposed Amendments to the Constitution and Bylaws of the

Mississippi Historical Society

 

Amendment One

Bylaw I. currently reads as follows:  The annual dues for active members of the Society shall be $25.00. The annual dues for a husband-wife joint membership shall be $35.00. The annual dues for a contributing (single or joint) membership shall be $50.00; a supporting (single or joint) membership, $75.00; a corporate membership, $100.00; and a patron (single or joint) membership, $200.00. The annual dues for student memberships shall be $15.00 with the exception of des for members of the Junior Historical Society, which shall be $5.00. The amount of $10.00 shall be added to the annual dues for foreign memberships to cover the costs of postage and handling.

Upon payment of $400.00 any person may become a life member of the Society and shall thereupon be exempt from the payment of further annual dues. Upon payment of $500.00 a husband and wife may become joint life members of the Society and thereupon be exempt from the payment of further annual dues.

In accordance with action taken by the Society’s board of directors, the proposal will replace the above with an amendment that reads simply:

The board of directors has the authority to determine the annual dues for membership.

 

Amendment Two

Article V. of the Constitution currently reads as follows:

The board of directors of the Society shall consist of the president, vice president, secretary-treasurer, immediate past president, the editor-in-chief of The Journal of Mississippi History, and eighteen members to be elected in three classes of six members each. At each annual meeting, one class of six members shall be elected for a term of three years. No member, other than an ex-officio member, shall be eligible for immediate re-election to the Board. No person shall hold two positions on the Board by virtue of holding two elective positions. Ten members shall constitute a quorum for the transaction of business.

The two proposed changes in red to Article V. are:

The board of directors of the Society shall consist of the president, vice president, secretary-treasurer, immediate past president, the editor-in-chief of The Journal of Mississippi History, and eighteen members to be elected in three classes of six members each. At each annual meeting, one class of six members shall be elected for a term of three years. No member, other than an ex-officio member, shall be eligible for immediate re-election to the Board unless that member is completing an unexpired term. No person shall hold two positions on the Board by virtue of holding two elective positions. Ten members shall constitute a quorum for the transaction of business. Three consecutive absences by a member from board meetings shall be considered resignation from the board.
